2. Description of Services

Modivis provides a platform for the tokenization of real-world assets including invoices, letters of credit, and net working capital instruments. Our services are intended for institutional and accredited users only.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using Modivis, you represent and warrant that you meet these requirements.

4. Regulatory Compliance

Users are solely responsible for ensuring their use of the Modivis platform complies with all applicable laws and regulations in their jurisdiction, including securities laws, anti-money laundering regulations, and KYC requirements.

5. Prohibited Activities

You agree not to use the platform for any unlawful purpose, to submit fraudulent instruments or false information, to attempt to circumvent any security measures, or to engage in any activity that disrupts or interferes with our services.

6. Limitation of Liability

Modivis shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

7. Intellectual Property

All content, trademarks, and intellectual property on the Modivis platform are owned by Modivis LLC. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Termination

We reserve the right to suspend or terminate your access to our services at any time, for any reason, including violation of these Terms of Service, without prior notice.

9. Governing Law

These Terms of Service shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Santa Clara County, California.
